1. INTRODUCTION

These Terms and Conditions ("Terms") govern your access to and use of the MyPremo platform located at mypremo.com ("Platform").

The Platform is owned and operated by Premo Media Pty Ltd (ABN: 52 635 706 651) ("MyPremo", "we", "us", "our").

By accessing or using the Platform, you agree to be legally bound by these Terms.

2. NATURE OF THE PLATFORM (CRITICAL)

MyPremo is a technology platform only that enables users to:

  • Create profiles
  • List goods, services, experiences, and bookings
  • Transact directly with other users

2.1 No Role in Transactions

MyPremo:

  • Is NOT a buyer or seller
  • Is NOT a party to any transaction
  • Does NOT control, endorse, or guarantee any listing, user, or transaction

2.2 Not Merchant of Record

MyPremo is NOT the merchant of record for any transaction.

All transactions occur:

  • Directly between buyer and seller
  • Via third-party payment providers (Stripe)

3. ELIGIBILITY

You must:

  • Be 18 years or older, OR
  • Use the Platform under parent/legal guardian representation

By using the Platform, you warrant that you meet these requirements.

4. GLOBAL USE

The Platform is available globally, except where:

  • Stripe or payment providers do not support transactions
  • Use would violate applicable laws

Users are responsible for ensuring compliance with their local laws.

5. PAYMENTS & FEES

5.1 Currency

All transactions are processed in USD.

5.2 Payment Processing

  • Payments are processed via Stripe
  • Funds are held and managed by Stripe
  • MyPremo does not hold user funds

5.3 Payouts

  • Paid to creators via Stripe Connect
  • Typically on the 1st and 15th of each month
  • Subject to:
    • Minimum 7-day clearance period
    • Stripe processing timelines
    • Risk, fraud, or compliance reviews at MyPremo's discretion

5.4 Platform Fee

  • A 20% service fee is applied to transactions
  • Charged to the buyer

6. REFUNDS

  • Refunds are entirely at the discretion of the seller
  • MyPremo has no obligation to provide refunds

6.1 Stripe Fees

If a refund is issued:

  • Stripe fees may be non-recoverable
  • Buyer must seek recovery of such fees directly from the seller

MyPremo is not responsible for any loss of fees.

7. DISPUTES

All disputes:

  • Are strictly between buyer and seller
  • Must be resolved between those parties

MyPremo:

  • May assist at its discretion
  • Has no obligation to intervene
  • Has no liability for outcomes

8. CHARGEBACKS & FRAUD

Users who initiate chargebacks:

  • May have accounts suspended or terminated immediately

Users are liable for:

  • All associated fees
  • Recovery costs
  • Legal expenses

8A. CHARGEBACKS, REVERSALS & RECOVERY RIGHTS

Where a payment is disputed, reversed, or subject to a chargeback after funds have been paid to a seller, the seller agrees as follows:

(a) Seller Financial Liability

The seller is fully responsible for:

  • The full transaction amount
  • Any chargeback or dispute fees
  • Payment processor penalties
  • Administrative and recovery costs incurred by MyPremo

(b) Right of Set-Off

MyPremo may, at its sole discretion and without notice:

  • Deduct any amounts owed from:
    • Future earnings
    • Pending payouts
    • Any other amounts payable to the seller

This right applies immediately and continuously.

(c) Direct Recovery Rights

If insufficient funds are available, MyPremo may:

  • Issue an invoice to the seller
  • Require immediate repayment
  • Recover funds via:
    • Any payment method on file
    • External recovery processes
    • Legal proceedings

(d) Account Enforcement Actions

MyPremo may:

  • Suspend or terminate accounts
  • Withhold payouts indefinitely
  • Restrict platform access

Until all outstanding amounts are repaid in full.

(e) Continuing Obligation

The seller's obligation to repay survives:

  • Account suspension
  • Account termination
  • Cessation of platform use

9. EXPERIENCES, BOOKINGS & IN-PERSON SERVICES (HIGH RISK)

9.1 Assumption of Risk

All experiences are undertaken entirely at your own risk.

9.2 No Liability

MyPremo is not responsible or liable for:

  • Injury
  • Death
  • Illness
  • Property damage
  • Assault or misconduct
  • Fraud or misrepresentation

9.3 User Responsibility

Users must:

  • Conduct their own due diligence
  • Ensure personal safety
  • Comply with all applicable laws

10. SELLER OBLIGATIONS

Sellers are solely responsible for:

  • Accuracy of listings
  • Delivery of goods/services
  • Legal compliance
  • Safety of experiences
  • Fulfilment and communication

11. BUYER OBLIGATIONS

Buyers are responsible for:

  • Reviewing listings before purchase
  • Understanding risks
  • Complying with seller requirements

12. IDENTITY VERIFICATION & DATA SHARING

Users may be required to provide:

  • Government identification
  • Personal data

By using the Platform, you:

  • Consent to collection and sharing of this data with relevant parties (including sellers)

MyPremo is not liable for:

  • Misuse of data by third parties
  • Actions taken by sellers

13. AUCTIONS

  • All bids are legally binding
  • Payment authorisations may be placed

Winning bidders:

  • Authorise automatic payment capture
  • Cannot withdraw or reverse bids

14. CONTENT & PLATFORM CONTROL

MyPremo may, at any time and without notice:

  • Remove content
  • Suspend or terminate accounts
  • Refuse service

For any reason, including:

  • Suspected fraud
  • Legal risk
  • Policy breaches

15. PROHIBITED USES

Users must not:

  • Offer illegal goods or services
  • Sell counterfeit items
  • Engage in fraud or deception
  • Offer unsafe or unlawful experiences
  • Use the platform for gambling or prohibited activities
  • Sell weapons or restricted items

16. INTELLECTUAL PROPERTY

MyPremo retains all rights to the platform.

Users grant MyPremo a worldwide, royalty-free, perpetual license to use uploaded content for:

  • Marketing
  • Platform operation
  • Promotion

17. TERMINATION

MyPremo may:

  • Suspend or terminate accounts at any time
  • Withhold payouts where:
    • Fraud is suspected
    • Disputes exist
    • Risk is identified

18. INDEMNITY

You agree to fully indemnify MyPremo against any:

  • Claims
  • Damages
  • Losses
  • Legal costs

Arising from:

  • Your use of the platform
  • Any transaction
  • Any dispute
  • Any injury or harm

19. LIMITATION OF LIABILITY (MAXIMUM PROTECTION)

To the maximum extent permitted by law:

MyPremo's total liability is $0 (ZERO)

MyPremo is not liable for any:

  • Direct damages
  • Indirect damages
  • Consequential losses
  • Loss of profits
  • Personal injury or death
  • Data loss
  • Business interruption

20. DISCLAIMER

The Platform is provided "as is" and "as available".

MyPremo makes no guarantees regarding:

  • Platform availability
  • User behaviour
  • Transaction outcomes
  • Accuracy of listings

21. CHANGES TO TERMS

MyPremo may update these Terms at any time.

Continued use of the Platform constitutes acceptance of updated Terms.

22. GOVERNING LAW

These Terms are governed by the laws of Western Australia.

You agree to the exclusive jurisdiction of the courts of Western Australia.
